1. Use of Our Services

You must be at least 18 years old to use our Services. You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use complies with all applicable local, state/provincial, federal, and international laws, including those of the United States and Canada.

2. Services Provided and SEO Methods

StepUp Technology provides SEO, digital marketing, website optimization, and related consultancy services. We make no guarantees about search engine rankings, performance outcomes, or traffic improvements, as these depend on numerous factors beyond our control including, but not limited to:

• Algorithm updates and policy changes by search engines
• Competitor activity and changes in the marketplace
• Website technical condition and hosting performance
• Content quality, relevancy, and user engagement
• Third-party search engine operations and guidelines

3. Accounts, Submissions, and Client Responsibilities

When you create an account, fill out a form, or request a quote, you agree to provide accurate and current information. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

• You represent and warrant that all content, materials, and information provided to the Company are accurate, current, and complete
• You own or have all necessary rights and permissions for materials provided
• Your content does not infringe any third-party rights and complies with all laws
• You have not engaged in Black Hat SEO on your website prior to our engagement
• You will provide timely access to website backend, analytics, and necessary accounts

You agree to indemnify StepUp Technology from any claims arising from content or materials you provide.

4. Payments and Refunds

All payments are due as specified in your service agreement or invoice (typically net 15 days from invoice date).

Late payments may incur a penalty of 1.5% per month or the maximum allowed by law. We reserve the right to suspend or terminate Services for accounts with payments more than 30 days overdue.

All fees are non-refundable, including in cases where expected SEO outcomes are not achieved due to algorithmic, third-party, or market factors outside our control.

5. Intellectual Property and Deliverables

• Proprietary methodologies, processes, and SEO strategies
• Software tools and platforms developed by Company
• General market research and industry knowledge

Backlinks created remain the property of the linking websites and may be modified or removed by those sites. Upon full payment, you receive a perpetual, non-exclusive license to use all deliverables for your business purposes.

6. Confidentiality

• Client business strategies, customer data, and financial information
• Company's SEO methodologies, strategies, and proprietary tools
• Any information marked as confidential

This obligation survives for three (3) years after the termination of Services. Exceptions include information that is publicly available, legally required to be disclosed, or independently developed.

7. Limitation of Liability

To the fullest extent permitted by law, StepUp Technology's total liability arising out of or related to these terms or the services shall not exceed the total amount paid by you for the services during the three (3) months immediately preceding the event giving rise to the claim. In no event shall StepUp Technology be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, goodwill, or business opportunities related to search engine algorithm changes, third-party actions, or website ranking fluctuations.

8. Disclaimer of Warranties

Our services are provided on an "As is" and "As available" basis without warranties of any kind, either express or implied, including, but not limited to: warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted or error-free service, accuracy, reliability, or results. We do not warrant search engine rankings or traffic metrics.

9. Third-Party Links and Services

Our Site may contain links to third-party websites or tools. We are not responsible for their content, privacy practices, or services. Accessing third-party tools and websites is at your own risk.

StepUp technology is not liable for actions or omissions of third-party platforms, including but not limited to search engines, advertising networks, analytics providers, and hosting services.

10. Termination

Either party may terminate these Terms by providing thirty (30) days written notice. Upon termination:

• Client shall pay for all Services rendered to the effective termination date
• We will provide a final report of work completed within fifteen (15) days
• All Client materials and content will be returned within thirty (30) days
• Client access to analytics and reporting continues for thirty (30) days after termination
• Confidentiality obligations remain in effect

Immediate termination or suspension without notice may occur if:

• Client breaches these Terms
• Client engages in or instructs Black Hat SEO
• Payment is more than 60 days overdue
• Client conduct damages our reputation or is deemed unlawful

11. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond reasonable control, including but not limited to:

major search engine algorithm updates, acts of God, disasters, pandemics, war, government actions, or internet/platform service outages. The affected party will notify the other promptly and use reasonable efforts to minimize the impact.

12. Indemnification

• Content or materials you provide
• Your violation of these Terms or applicable laws
• Infringement of third-party rights

Company agrees to indemnify you against claims that our Services infringe third-party intellectual property rights, provided you notify us promptly and allow us to control the defense.

13. Governing Law and Jurisdiction

For Clients located in the United States: These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, USA. Any disputes shall be exclusively resolved in the state or federal courts located in Wyoming, USA, and you consent to the personal jurisdiction of such courts.

For Clients located in Canada: These Terms shall be governed by and construed according to the laws of the Province of Ontario, Canada. Any disputes shall be exclusively resolved in the courts of Ontario, Canada, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be posted with a new "Last Updated" date. Your continued use of our Site or Services after changes indicates your acceptance. If you do not agree, discontinue use of our Site and Services.
